Terms and Conditions
1. Validity of These Terms and Conditions
These Terms and Conditions apply to all customers who, through PayrollPlus AG, employ our salaried employees—who are subject to Article 319 of the Swiss Code of Obligations—in an external work assignment.
2. Terms of Employment
PayrollPlus AG has entered into a commission-based employment contract with its employees in accordance with Swiss Code of Obligations (OR) Article 319, and all statutory social benefits for the employees (AHV, KTG, UVG, BVG, etc.) are processed.
Pseudo-self-employment is ruled out, since you receive the invoice from PayrollPlus AG.
PayrollPlus AG handles and organizes:
- Transferring Wages to the Employee
- Settling Accounts with the AHV and Other Social Partners
- Settling Accounts with Group Daily Sickness Benefit Insurance and Accident Insurance
- Settling Accounts with the Pension Fund
- Withholding Tax Calculation
- Reporting an Employee’s Illness or Accident
- Preparing payroll, the AHV wage declaration, and the wage statement
- If you have earned income in the meantime: Fill out the form
- Preparing the Employer’s Certificate for the RAV
3. Authority to Issue Instructions
The PayrollPlus AG employee is not integrated into the client’s organization. The client has certain authority to issue instructions regarding the execution of the assignment, but not regarding the manner in which it is executed.
4. Disclaimer of Liability
PayrollPlus AG disclaims any liability for damages of any kind caused by its employees to the customer or third parties. If third parties assert claims arising from the employees’ activities, the customer is obligated to indemnify and hold harmless PayrollPlus AG and its employees from all such third-party claims.
The employee is personally liable to PayrollPlus AG and the client, within the limits set forth in Art. 321e(2) of the Swiss Code of Obligations, for all damages caused intentionally or through gross negligence.
The same applies to the consequences of failing to comply with this contract. PayrollPlus AG cannot be held liable for damages incurred by the customer or third parties (excerpt from the commission-based employment contract).
5. Final Provisions
The exclusive place of jurisdiction is Wollerau, SZ.
